for the use of Cinemura

1. Provider, scope and definitions
The provider and contracting party is

(hereinafter “Cinemura” or “we”).These Terms and Conditions (“Terms”) apply to registration for and use of the Cinemura Service and paid subscriptions through the web app, iOS app and Android app. Cinemura uses media and text supplied by the user to generate AI-assisted property videos and 3D views.
A “Consumer” is any natural person entering into the contract for purposes that are predominantly outside their trade, business or profession. A “Business” is a natural or legal person or partnership with legal capacity acting in the course of its trade, business or profession when entering into the contract. “User” includes both groups.
A Business’s conflicting terms apply only if we have expressly accepted them in text form.
The Privacy Policy applies to personal data processing. Where Cinemura processes third-party personal data on a Business’s behalf, the parties must also enter into a data processing agreement under Article 28 GDPR before such processing begins.
2. Eligibility and user account
- An account may be opened only by an adult with full legal capacity or by a duly authorised representative of a business. 【PRÜFEN: Zielgruppe und Mindestalter vor Launch mit Produkt-/Store-Konzept abgleichen; falls Minderjährige zugelassen werden sollen, Einwilligungs- und Jugendschutzkonzept ergänzen.】
- Users must provide accurate and complete information, keep contact details current and protect access credentials from unauthorised use. Suspicious or unauthorised use must be reported to us without undue delay.
- Registration requires acceptance of the Terms and Privacy Policy made available at the time. The email address is verified through a confirmation link. Registration alone does not create a paid subscription.
- Contractual, security and status messages (in particular email verification, password reset, security notices, generation, subscription, export and deletion notices) form part of service delivery and are sent without separate consent. We send marketing emails, in particular newsletters and automated product email sequences, only where you have given separate consent and confirmed that consent via the link in a confirmation email. Giving this consent is voluntary and is not a condition for registering or using the Service. You may withdraw the consent at any time with future effect, in particular via the unsubscribe link in every marketing email or in your account settings; this incurs no costs beyond basic-tariff transmission costs.
- Each person or business may maintain only the number of accounts permitted by the Service description. Multiple accounts must not be used to circumvent Free Tier, budget, security or use limits.

3. Entering into a contract
- The presentation of plans and features is not a binding offer but an invitation to submit an offer.
- Before a paid order is placed, Consumers are shown in a prominent manner the main characteristics, total price including taxes, billing period, term, cancellation conditions and any minimum commitment. Input errors may be corrected before submission.
- The User submits a binding offer through externally hosted Stripe Checkout using a button that clearly indicates the payment obligation. For Consumers, the order flow must comply with Section 312j BGB. The contract is formed only when we expressly accept the offer or activate the subscription and confirm this electronically.
- The contract language is German or English according to the selected version. The German version is authoritative to the extent that this choice is effective against the User. The contract text and the terms applying at conclusion are provided on a durable medium.

4. Scope of the Service
- The specific scope follows the Service description shown when the contract is entered into and the then-current centrally supplied plan configuration. The current plan tiers are Starter, Business, Pro and Enterprise; a Free Tier may also be offered. Prices and variable service parameters do not form part of these Terms but of the Service description shown at checkout.
- The Service may include in particular:
- uploading the User’s own photos and videos as reference media;
- generating an AI-assisted video based on a prompt, duration and aspect ratio;
- generating a new version with an amended prompt (“Refinement”);
- reconstructing a 3D view from multiple photos;
- a library and the ability to download and share results; and
- profile, security, subscription, export and deletion functions.
- Under the current configuration, the Free Tier provides one limited video generation per account with a watermark and reduced resolution; a 3D allowance exists only if shown in the current Service description.
- Paid plans provide a monthly seconds budget and may provide a separate monthly allowance for 3D views. The maximum selectable video duration is limited by platform, plan and remaining budget.
- A Generation is one natively generated video take. A Refinement creates a new job and consumes the selected number of seconds again. A 3D job consumes one 3D allowance.
- Features may be presented differently for technical or regional reasons but must meet the agreed scope. Enterprise services are additionally governed by the individual offer.
5. Budget, reservation and failed jobs
- Unused monthly budget does not roll over to the next billing period.
- The selected seconds or 3D allowance are reserved or deducted when the relevant job starts.
- If a job fails for a technical reason attributable to Cinemura or a technical service used by Cinemura and no usable result is supplied, the allowance deducted for that job is automatically refunded in full. A technically supplied result that the User subjectively dislikes is not a technical failure.
- If a job is stopped because of unlawful content, the User’s breach, unsuitable or corrupt input, or at the User’s request, any refund depends on responsibility and the stage of performance already reached; mandatory Consumer rights remain unaffected.
- Allowances are not transferable or redeemable for cash and, unless expressly offered, cannot be moved between billing periods or accounts. Statutory refund and price-reduction rights remain unaffected.
6. AI results and technical limitations
- AI and 3D results are generated probabilistically. Despite suitable inputs, they may be inaccurate, incomplete, technically defective, aesthetically unsuitable or similar to real persons, places or works.
- Cinemura owes the contractually conforming supply of the agreed digital Service, not any particular artistic, commercial or sales outcome. The Service is not warranted to be suitable for surveying, construction planning, valuation, evidence, safety decisions or truthful documentation.
- Previews, 3D reconstructions and augmented-reality presentations may inaccurately reproduce scale, geometry, colours, light, materials or surroundings. Users must review results for factual, legal and quality issues before publication or commercial use.
- Statements about models, formats, resolutions and maximum durations follow the current Service description unless expressly guaranteed in an individual agreement.
7. Availability, maintenance and changes
- We operate the Service with the care expected of a competent provider. Continuous or error-free availability is not guaranteed unless a separate service level has been agreed. Maintenance, security measures, outages affecting internet, hosting, payment or AI services, and events outside our reasonable control may temporarily restrict use.
- We aim to announce planned material maintenance in reasonable time and remedy disruptions attributable to us within a reasonable period.
- For Consumer contracts involving digital products supplied continuously, updates and changes are governed by Sections 327f and 327r BGB. Changes going beyond what is required to maintain conformity are made only for a contractually specified valid reason, such as security, abuse prevention, a change in law, technical development or replacement of a no-longer-available subcontractor, without additional cost and following clear notice.
- If a change impairs access or use more than insignificantly, we notify Consumers within a reasonable time in advance on a durable medium of the features and timing of the change and their statutory termination rights. Mandatory rights, including continued access to an unchanged version or free termination, remain unaffected.
- Businesses receive reasonable notice of material adverse changes. Individually agreed characteristics will not be withdrawn unilaterally.
8. Prices, payment and invoices
- The prices and billing terms shown immediately before ordering apply. Consumers are shown total prices including statutory value-added tax and other mandatory price components. Businesses are informed whether prices include value-added tax.
- Depending on the selection, subscriptions are billed monthly or annually in advance. Accepted payment methods and restrictions are shown before ordering.
- Payments are processed by Stripe. Stripe’s terms additionally apply to its payment services to the extent effectively incorporated; they do not restrict statutory claims against Cinemura.
- Following a failed or reversed payment, we may restrict paid access after reasonable notice and an opportunity to cure. Accrued claims and mandatory Consumer rights remain unaffected.
- Invoices are supplied electronically. Users are responsible for accurate billing and tax information.
9. Term, renewal, plan changes and cancellation
- A paid subscription begins upon contract confirmation and runs for the selected monthly or annual billing period. It then renews for an indefinite term with ongoing billing at the selected interval unless cancelled in time. The renewed contract may be cancelled at any time subject to a notice period of no more than one month (Section 309 no. 9(b) BGB). If the contract ends before a prepaid billing period expires, the proportionate fee for the period no longer owed is refunded to the extent required by law. 【PRÜFEN: Vor Launch die Kündigungs- und Erstattungslogik für jährlich vorausbezahlte Abonnements (anteilige Stripe-Rückerstattung oder Wirksamkeit erst zum Periodenende nur auf ausdrücklichen Verbraucherwunsch) technisch umsetzen und anwaltlich abnehmen. - Ordinary cancellation is available through a cancellation button that is permanently available on the website. It must lead directly to a confirmation page that permits all information required by law, contains an unambiguously labelled confirmation button, permits the declaration and its date and time to be saved, and immediately triggers confirmation in text form. Management through the Stripe Customer Portal accessible from account settings may additionally be offered.
- Cancellation and withdrawal are different declarations. Cancellation ends the subscription for the future; the statutory right of withdrawal is explained in the separate Cancellation Policy.
- The right to terminate for cause remains unaffected. The contact methods in the Legal Notice also remain available; Consumers are not required to use a stricter form than permitted by law.
- An upgrade may take effect immediately or in the next period as shown before selection. A downgrade generally takes effect in the next billing period. Price, crediting and allowance effects are shown before confirmation.

10. Consumers’ right of withdrawal
- Consumers entering into distance contracts generally have a statutory right of withdrawal. Details, the model form and the online function are contained in the separate Cancellation Policy.
- If a Consumer requests that a service begin before the withdrawal period expires, they may owe a proportionate amount for conforming performance supplied before withdrawal where the statutory conditions are met.
- The right of withdrawal may expire early for fully performed services or digital content not supplied on a tangible medium only under the conditions of Section 356(5) or (6) BGB. Required express consents and acknowledgements are not replaced by general acceptance of these Terms.
- An online withdrawal function under Section 356a BGB will be made prominently and easily accessible during the withdrawal period for distance contracts entered into online.

11. Retention and consequences of contract termination
- During an active subscription, reference media and results remain accessible under the product configuration until deleted by the User or another deletion ground applies.
- After the subscription ends, these data are generally retained for 90 days and then deleted; a warning is intended seven days before scheduled deletion. The Free Tier generally uses a 30-day period from creation.
- Users are responsible for downloading required results before the period expires. Statutory retention, backups, legal claims and data subject rights may result in different or restricted storage; details are set out in the Privacy Policy.

12. Rights and obligations relating to inputs
- Users retain their rights in uploaded media, prompts, trade marks and other inputs.
- For the contract term, the User grants Cinemura a non-exclusive, worldwide right limited to the contract purpose to technically reproduce, transmit, store and format inputs, to have them processed by contracted service providers, and to use them to create and supply the requested results. This does not include use for advertising or Cinemura’s own model training.
- The User warrants that they have all required rights, consents and other legal bases and that the inputs and their processing do not infringe third-party rights or law. This includes copyright, trade mark, personality, property, data protection and confidentiality rights.
- For third-party personal data, the User fulfils the information, legal-basis and instruction duties applying to them. Businesses enter into a customer data processing agreement with Cinemura before uploading where required.
- The licence ends after the contract ends to the extent processing is no longer required for deletion, backups, legal obligations or legal claims.
13. Use of results
- To the extent Cinemura acquires transferable rights in a result, Cinemura grants the User, upon conforming supply and – for paid services – full payment, a non-exclusive, worldwide and perpetual right to reproduce, distribute, communicate to the public, perform, adapt and incorporate the result into the User’s own offerings for private and commercial purposes. A designated watermark remains on Free Tier results.
- Purely AI-generated elements may receive no or only limited copyright protection under applicable law because they may lack a personal intellectual creation. Cinemura therefore does not warrant protectability, exclusivity or that similar results will not be generated for others.
- The licence does not include rights in third-party inputs or elements that the User does not own. Before publication, Users must assess in particular depicted persons, trade marks, buildings, music, voices and other protected elements.
- Users must not unlawfully remove or conceal labels of artificial generation that are required by law or technically present. Cinemura may add machine-readable metadata and visible notices for legal compliance.

14. Prohibited use
Users must not use the Service to
- generate or distribute unlawful, misleading, fraudulent, defamatory, discriminatory, threatening or privacy-infringing content;
- depict or imitate people without a valid legal basis or place them in a deceptive context;
- create sexualised content involving minors or non-consensual intimate depictions;
- promote glorification of violence, terrorism, trafficking or other criminal offences;
- infringe copyright, trade mark, personality, data protection, property or confidentiality rights;
- improperly circumvent security measures, budget limits, watermarks or provenance labels;
- introduce malware, cause automated overload, obtain unauthorised access, reverse engineer outside statutory permissions or resell account access; or
- represent results as authentic footage, a survey, official evidence or professional planning where they are not.
15. Reports, moderation and measures
- Unlawful or non-conforming content may be reported through the designated reporting function or contact address. A report should identify the content and provide comprehensible reasons.
- Where there are concrete indications, we may review content and accounts and take proportionate measures, including limiting visibility, removing content, stopping a generation, temporarily securing access or suspending an account. We consider severity, frequency, fault, risk, affected rights and the User’s legitimate interests.
- Except in cases of imminent danger, compelling law or a security risk, we inform the affected User of material measures and provide a reasonable opportunity to comment or cure. Manifestly unfounded reports do not automatically result in action.
- Permanent termination of an account by Cinemura requires cause or an effective ordinary termination. Cause may arise in particular from a serious or repeated breach, unlawful use, payment fraud or danger to the Service. Where reasonable, a warning or cure period is provided first.
- Statutory rights to reasons, complaint, judicial redress and data return remain unaffected.
16. Statutory conformity rights
- Consumers have the statutory rights under Sections 327 et seq. BGB for digital products. If the Service is defective, a Consumer may in particular require cure and, where the statutory conditions are met, terminate the contract, reduce the price, claim damages or recover wasted expenditure.
- We may refuse cure only under the statutory conditions. The typical characteristics of generative systems described in Section 6 do not displace an agreed subjective or objective requirement and do not restrict mandatory conformity rights.
- For Businesses, statutory conformity rights apply subject to the Business describing an apparent defect promptly and comprehensibly in text form. This is not a time bar for latent defects and leaves Section 377 HGB, where applicable, and mandatory law unaffected.
- A guarantee exists only if expressly identified as such and given in text form.
17. Liability
- Cinemura has unlimited liability
- for intent and gross negligence;
- for injury to life, body or health;
- under the German Product Liability Act;
- to the extent of an expressly assumed guarantee; and
- in all other cases of mandatory statutory liability.
- For a slightly negligent breach of a material contractual obligation, Cinemura is liable for the foreseeable loss typical of the contract. Material obligations are those whose performance is essential to proper performance of the contract and on whose performance the User may ordinarily rely.
- Liability for slight negligence is otherwise excluded to the extent permitted by law.
- These limitations also apply for the benefit of Cinemura’s corporate bodies, employees and agents.
- Statutory rules on the burden of proof are not changed to the User’s detriment. Mandatory Consumer rights, including those under Sections 327 et seq. BGB, remain unaffected.
- The statements about generative variations in Section 6 are not an exclusion of liability. In particular, Cinemura remains liable under the rules above if a contractually owed service is not supplied for a reason attributable to Cinemura.
18. Indemnity by Businesses
- A Business indemnifies Cinemura against justified third-party claims based on a breach attributable to that Business of the warranties and obligations in Sections 12 to 14. The indemnity includes necessary and reasonable defence costs.
- Cinemura informs the Business of the claim without undue delay and, to the extent legally and practically possible, allows it to participate in the defence. Cinemura will not admit a claim or settle to the Business’s detriment without its consent unless required to avoid disproportionate harm.
- The indemnity does not apply to the extent Cinemura caused or aggravated the claim. This Section does not apply to Consumers.
19. Data protection and confidentiality
- Personal data processing is governed by the Privacy Policy and, where applicable, a separate customer data processing agreement.
- The parties treat the other party’s non-public trade and business secrets as confidential. Disclosure required by law or to professional or contractual advisers bound to confidentiality remains permitted.
- Reference media and prompts are not used by Cinemura for advertising or its own model training. Commitments relating to external AI and model providers apply only to the extent verified and documented in contracts before launch.
20. Consumer dispute resolution
Cinemura is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board. After a specific dispute cannot be settled, we inform Consumers in text form under Section 37 VSBG of a competent board and whether we are willing or obliged to participate. The former EU Online Dispute Resolution platform was discontinued on 20 July 2025.
21. Governing law and jurisdiction
- German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
- For Consumers, this choice applies only to the extent it does not deprive them of protection under mandatory provisions of the state in which they have their habitual residence. This also applies to Users in the United States and other sales regions.
- Where the User is a merchant, a legal entity under public law or a special fund under public law, Cinemura’s registered office is the exclusive venue for disputes arising from the contract. Mandatory venues remain unaffected.
- Statutory venues apply to Consumers; these Terms do not establish exclusive jurisdiction at Cinemura’s registered office.
22. Changes to the Terms
- Changes applying to existing contracts are made only for an objective reason, in particular a change in law, case law, security requirements, features or technical conditions. They must not shift the contractual balance to the User’s detriment, and a main performance obligation or agreed price will not be fundamentally changed through a general variation clause.
- We provide timely notice in text form. Where consent is required, we obtain it expressly. Silence constitutes consent only where legally permitted and where the notice transparently explains the meaning, period and consequences and provides a reasonable rejection or cancellation right.
- Section 327r BGB and other mandatory Consumer rights prevail.
23. Final provisions
- Legally relevant declarations may be made in text form unless mandatory law requires a stricter form. Statutory cancellation and withdrawal functions and less formal Consumer rights are not restricted.
- If a provision is or becomes wholly or partly invalid, the remaining provisions remain effective. Statutory law replaces the invalid provision. The invalid provision is not preserved by reducing it to the maximum permissible scope.
- Individual agreements prevail over these Terms.
